Reverse Takeover is a Hong Kong-based advisory focused on a single outcome: taking a private company public in the United States. We do it principally through the reverse takeover — the merger of an operating business into an existing, clean public shell — and we stay involved through the shell selection, the structuring, the closing, and the first period of life as a reporting company.
We are an advisory and an arranger. We assess whether a US listing is realistic and which route fits; we source and diligence shell companies; we coordinate the structuring, disclosure, and closing with your specialist advisers; and we help you stand up the reporting and investor-relations discipline a public company needs. We do not, ourselves, provide regulated services. We are not a registered broker-dealer, an investment adviser, a law firm, or an audit firm, and nothing we publish is investment, legal, tax, or accounting advice.
Regulated work is done by the right licensed specialists, coordinated as one team: US securities counsel prepare and file the SEC disclosure; PCAOB-registered auditors deliver the audited financial statements a US listing requires; a transfer agent and, where relevant, a market-maker and broker-dealer complete the market steps. Our role is to make that work fit together on a sensible timetable, and to protect you from the pitfalls — above all, a shell that is not as clean as it looks.
